ASSOCIATE AGREEMENT

This agreement and policy made as of the date set forth below by and between HWG company and the undersigned individual hereunder YOU/ASSOCIATE or the CONTRACTOR.

 FOR EFFECTIVE CONSIDERATION, the parties hereto agree as follows:

1. You joined voluntarily with HWG as independent contractor either single ownership or partnership but not an employee of the company to cater services within the scope of your skills and profession in accordance with the company policy and agreement. With a full capacity to run a business by providing services to the clients. Identified at the public as an independent business individual either a single proprietorship or partnership.

2. You preserve the right to offer services to other business or company at anytime but not involving the company with the business transaction or whatsoever does create conflict of interest with the company.

3. The company may terminate this agreement, or you may terminate this agreement at anytime by providing us or you a written notice within 7 days. The following cause of termination mention as follow below.

a. Breach of agreement by the parties the associate(s)/(you).

b. The parties failed to provide services during the period of 1 years.

c. Or the parties decided to terminate the agreement due to personal reasons.

d. Threatening, assaulting, foul and offensive language against to the client either direct or indirect that resulting heavy ground of complaint against you.

e. Multiple cancelation of bookings that resulted to lost of client without justified reason causes by the associate/you due to late, delaying and not showing up on booking date after the associate(s)/you confirmed the bookings.

f. And multiple refunds of payments after executing the service(s) due to complain for dissatisfaction, dismay, poor service, injury or not showing up on booking date after the associate(s)/you confirmed the bookings.

g. You agreed and after the agreement terminated either the company or associate(s)/by you with that respect there will be no further action required.

4. You are not obliged to perform at any minimum level or maximum level of services, and you can offer services and conduct your profession at your own standard, capacity and diligence to satisfy the client.

5. You understand as an independent contractor you are accountable all your actions of your business if applicable such hiring, training, firing, control, supervision, management and compensation of your employee or your contractor that participated on your business. You will have to provide your own tools, accessories, PPE and equipment use for performing your service. Therefore, you agreed as solely accountable the operation of the business that may incur operating expenses that will create impact to the business either a profit or loss.

6. The company or HWG is a platform online marketplace that provides heath, wellness and grooming at home service to the clients book online. It's a platform provides an avenue and access to the leads, prospect clients or a clients seeking needs of home services (but not limited to hotel or resort) for their pleasure, experience and or for conveniences of their social being that related to health, wellness and grooming.

7. You agreed by joining with HWG as an independent contractor either single ownership or partnership you will be primary responsible acquiring all requirements of the business mention below to comply legal requirements of the law of your place, territory, province, or country if only applicable.

a. Business license or permit.

c. Driver license.

e. Insurance (if required by the law).

f. Benefits such health, disability, dental, worker compensation or any other type of benefits that has not mention during drafting of this agreement (if required by the law)

8. You are responsible for the safety of your client during the time of service or performing your profession requested or booked by the client. You are accountable to follow health and safety protocol that related to viruses, bacteria or chemicals and any other type of hazard that may expose to your clients, (employee, or contractor only if applicable to you). You are liable follow health and safety protocol directed by the local authority; Federal Authority related to highly contagious diseases.

9. You will ensure the vehicle use for the business is a road worthy and in compliance with your local law. Expenses such vehicle insurance, repair and maintenance will be shoulder by you. These are part of your taxable expenses.

10. This platform HWG or website primarily use for Health, Wellness and Grooming home services only booked by the client wish to enjoy your services and experiences. There should be no other business activity could be done without the approval or consent by the management of the company that will create conflict of interest, harm and damage to the business, clients and its members. The HWG and management has primary and solely entity to execute the business acted in good judgment for the business to ensure every member will have an equal sharing of booking opportunity.

11. You will be encouraged to participate marketing activities to increase traffic-booking, and productivity of the business that will create either positive or negative impact to your business and HWG over all.

12. The company will not be held accountable for any negligence’s cause by the parties or associate(s) hereafter by You, that may result injuries, damage to property, or death of the clients, employee, and contractor. The company is not accountable for any losses of the business due to incapacity to handle a business.

13. You agreed the company will deduct 10% service fee from your earnings including government taxes in order to keep the website running and other service charge if applicable only. These amounts will be automatically deducted during payout period.

14. This agreement may modify, change, replaced or alter without prior consent by the parties, the host, you or without prior notice will be given to the parties, associates/you. To keep yourself update about the agreement and policy we will encourage you to check it on our platform time to time.

15. The company and its management are the exclusive entity and authority to run this platform. The primary interest of the HWG or the company will always prevail first than any other parties to protect against risk, jeopardies of the business and its members against any threat, harm, malicious activity either direct or indirect, intentional, or unintentional or anything that may not be mentioned during drafting of the agreement due to not applicable by the time and state of the business.

16. You are discouraged to collect and stored information of the client's personal information such full name, contact number, banking information, email address, type of work or business, cash, check, number of person leave in the house, house address, full name and other personal information of the client either store on electronic file, sharing to other parties, disclosing or exposing to unauthorized personnel or company without prior consent of the owner, company and client.

18. You not allowed to conduct marketing activities or promote the company's name or HWG without prior consent by the HWG's management or involve the business name of the company to other company for self-indulgent, self-purpose or for your own interest.

17. You understand by providing us your personal information you authorize the company to use it and disclosing personal information to third parties such client(s) and or colleague(s) for business ground. Third parties are not authorized to use your personal information or disclose your personal information except as necessary to perform your services for protection of the client(s), colleague(s) and you or complying legal requirements.

17. You understand that your personal information will be kept confidential, secured and stored by the company/HWG but not guarantee full security against hackers or cyber crime. However it might be shared also to third parties client(s) and colleague(s) for a business purpose in any provinces in Canada. You acknowledge that providing your personal information to us is voluntary disclosure for a business cause or condition upon joining with the company/HWG.

19. No affiliation exists of principal to agent, master to servant, employer to employee or franchisor to franchisee is founded between the parties, associates(s) or you.

 ASSOCIATE POLICY:

1. During the service period at the place of the client, you are responsible for your safety and safety of the client as well you may conduct checking temperature upon arrival, hand sanitizer and or disinfectant. You are obligated to clean up the areas after performing your services as you are accountable to observe safety, hygiene and cleanliness to avoid harm, damage, accident or injuries against to the properties, you and client(s).

2. Your earning will be deposited to your account on a weekly basis thru bank to bank e-transfer. However changes may happen in the future whatever convenience of service offer by the bank that will benefit to both parties.

4. You will be expected to reached at the client's home address on time booked by the client according to date, time and address specified but not limited to hotel and resort.

5. You are highly discourage to collect and solicit personal information of the client such contact number, banking information, email address, type of work or business, number of person leave in the house, house address, full name and other personal information of the client is for the reason of safety purposes of the parties.

6. You have the right to refuse or disregards to accept client and booking of service that may deemed unsafe to you and the client or possess risk against you and the client and or employee if applicable. Or you have a right to stop your service while performing your profession if it's unsafe to you, your client or possess risk against you and the client, against you and or employee if applicable. You have to provide a short information to the HWG or Management team with regards to the refusal for prevention purposes.

7. You are discouraged to collect and stored information of the client's personal information such full name, contact number, banking information, email address, type of work or business, cash, check, number of person leave in the house, house address, full name and other personal information of the client either store on electronic file, sharing to other parties, disclosing or exposing to unauthorized personnel or company without prior consent of the owner, company and client.

8.This policy may modify, change, replaced or alter without prior consent by the parties, associate or you without prior notice given to the parties, associates(s) or you. The parties, associate(s) or you are advice to visit Agreement and Policy to keep yourself updated.

9. Signing at affixing of your signature you understand with your full knowledge and with your own capacity to comply all the necessary information stipulated on this policy and agreement.

10. You acknowledge upon signing up on application may be used to execute all the information written on the screen. You understand that your signature will have the same legal effect, validity and enforceability upon signing the agreement and policy on signature portion of the application.
